Pace Membership Warehouse, Inc. v. Crown Equipment Corp., No. 428 (Md. Ct. Spec.
App. Apr. 16, 1998). The Maryland Court of Special Appeals affirmed a $1.7 million verdict
obtained in a contractual indemnity action.
Total Inert Maintenance & Equipment, Inc. v. Union Carbide Corp., 1991 WL
75202 (4th Cir. 1991). Affirming the district court’s grant of summary judgment, the
United States Court of Appeals for the Fourth Circuit held that Union Carbide, as a matter
of law, had not violated certain warranty and representation clauses contained in an
agreement governing the sale of a $7,500,000 Union Carbide subsidiary, and therefore was
not liable to indemnify the purchaser’s corporate parent for the costs of defending
and settling certain employment discrimination claims pending at the time of the sale.

Talegen Corp. v. Signet Leasing and Financial Corp., 104 Md. App. 663, 657 A.2d
406, cert. denied, 340 Md. 215, 665 A.2d 1058 (1995). The Court of Special
Appeals of Maryland reversed the trial court’s denial of the defendant’s motion
to dismiss, holding that the out-of-state defendant’s connections with the state were
not sufficient to support the court’s exercise of personal jurisdiction under the
Maryland long-arm statute.
